1. Acceptance of Terms

By creating an account, browsing listings, contacting sellers, posting classified advertisements, or utilizing any services provided by Zelulu (collectively referred to as the "Platform," "Service," "We," "Us," or "Our"), you ("User," "Buyer," "Seller," or "You") agree to be bound by these Terms of Use ("Terms").

If you do not agree to every provision contained within these Terms, you must immediately cease accessing and using the Platform. Continued use of Zelulu constitutes an ongoing acceptance of these Terms, as updated from time to time.

 

2. Platform Role & Nature of Service

Zelulu operates strictly as a online venue and hosting service.

  • • No Direct Brokerage: Zelulu is not an auctioneer, broker, retailer, dealer, or agent. We provide technological infrastructure enabling buyers and sellers to discover, communicate, and arrange transactions directly between themselves.
  • • Non-Party Status: Zelulu is not a party to any transaction conducted between users. We do not take ownership of listed goods, inspect items in person, guarantee quality, store inventory, or process payments on behalf of users unless explicitly stated through an authorized escrow feature.
  • • User Autonomy: Any purchase, sale, agreement, or meeting arranged through Zelulu is solely between the buyer and the seller. You enter into agreements with other users entirely at your own risk.

 

3. Account Registration & Security

To access features such as posting ads, saving listings, or messaging other users, you must register an account.

A. Eligibility

You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to register an account and post advertisements on Zelulu. By creating an account, you represent and warrant that you meet this requirement.

B. Account Information & Integrity

  • You agree to provide accurate, current, and complete information during registration.
  • You are strictly prohibited from creating multiple accounts to manipulate search listings, bypass posting limits, mislead users, or evade platform bans.
  • Impersonating another person, business, or entity is strictly prohibited and grounds for immediate, permanent termination.

C. Credentials & Security

You are solely responsible for maintaining the confidentiality of your login credentials (email, password, SMS verification codes). You accept full financial and legal responsibility for all activities, messages, and listings that occur under your account. If you suspect unauthorized access to your account, you must notify Zelulu support immediately.

 

4. User Conduct & Acceptable Use

You agree to use Zelulu lawfully and respectfully. You agree NOT to engage in any of the following prohibited behaviors:

  • • Fraudulent Activity: Creating fake listings, offering stolen goods, running advance-payment scams, or issuing fraudulent payment proofs.
  • • Harassment & Misconduct: Using abusive, profane, defamatory, discriminatory, or harassing language against other users or Zelulu staff.
  • • System Interference: Using bots, scrapers, spiders, or automated scripts to collect user data, harvest phone numbers, or flood the system with bulk posts.
  • • Platform Bypassing: Reverse-engineering, decompiling, or interfering with the security mechanisms, infrastructure, or source code of Zelulu.
  • • Off-Platform Scamming: Attempting to redirect users to external phishing websites, unverified payment gateways, or malicious third-party links.

 

5. Listing Rules & Content Policy

Sellers bear full responsibility for the content, accuracy, and legality of the advertisements they post on Zelulu.

A. Listing Requirements

  • • Accuracy: Listings must describe the item accurately, including current physical condition, defects, and history.
  • • Pricing: Prices must be realistic, accurate, and stated clearly in the local currency. Misleading pricing (e.g., listing a car for $1 to rank top in search) is prohibited.
  • • Categorization: Items must be posted in the most relevant category and geographic location.
  • • Original Media: Photos must depict the actual item being sold. Stock photos, copyrighted images taken from other sites without permission, or images containing graphic or offensive content are forbidden.

B. Intellectual Property Rights

By posting text, photos, logos, or media on Zelulu, you grant Zelulu a worldwide, non-exclusive, royalty-free, transferable license to store, reproduce, format, distribute, and display such content solely for operating, promoting, and optimizing the Platform. You warrant that you own or possess the necessary rights to publish all content you upload.

C. Prohibited & Restricted Items

You agree not to post, advertise, or request items that are illegal, dangerous, or restricted under local or international law. A non-exhaustive list of banned categories includes:

  • • Firearms, weapons, explosives, and military gear.
  • • Illegal drugs, controlled substances, and prescription medications.
  • • Counterfeit goods, knockoffs, and pirated software or media.
  • • Human organs, remains, or animals subject to wildlife protection laws.
  • • Stolen property or items subject to active liens or law enforcement holds.
  • • Financial instruments, real currency, loans, or unregulated investment schemes.
  • • Adult content, explicit media, or escort services.

Zelulu reserves the absolute right to remove any ad, without prior notice or refund, that violates our content standards or applicable laws.

 

6. Safety, Scams & In-Person Transactions

Because Zelulu facilitates local trading, physical meetups and direct payments occur between users.

  • • Inspection Responsibility: Buyers are strongly advised to meet sellers in well-lit, public locations (e.g., police station parking lots, busy shopping centers) and inspect the item thoroughly prior to making any payment.
  • • Advance Payments: Zelulu strongly advises users NEVER to wire funds, pay deposits, or make digital money transfers before receiving and verifying the physical item in person.
  • • Reporting Mechanisms: If you encounter a suspicious user or advertisement, you must report it immediately using the in-app "Report Ad" or "Report User" button.

 

7. Premium Services, Paid Ads & Subscriptions

Zelulu offers optional paid promotional features (such as "Featured Ads," "Top of Category placement," and "Business Seller Subscriptions").

  • • Non-Refundable: All fees paid for premium placements, ad boosts, or subscription tiers are non-refundable, even if the advertisement is sold early, deleted by the user, or removed by Zelulu for violating these Terms.
  • • No Guarantee of Sale: Paid promotions increase visibility, but Zelulu does not guarantee that a promoted ad will result in a successful sale, inquiry, or deal.
  • • Price Changes: Zelulu reserves the right to modify promotional rates at any time. Any price updates will be displayed prior to payment confirmation.

 

8. Intellectual Property & Brand Ownership

All materials on the Platform—including logos, source code, UI designs, graphics, page layouts, trademarks, database structures, and software—are the sole property of Zelulu and protected by international intellectual property laws. You may not copy, duplicate, re-sell, or reverse-engineer any portion of the Zelulu service without express written consent.

 

9. Disclaimer of Warranties

PLEASE READ THIS SECTION CAREFULLY.

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMISSIBLE BY APPLICABLE LAW, ZELULU DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • • THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ACCURATE, VIRUS-FREE, OR ERROR-FREE.
  • • REGARDING THE QUALITY, SAFETY, LEGALITY, AUTHENTICITY, OR CONDITION OF ANY GOODS OR SERVICES LISTED OR PURCHASED BY USERS.

ZELULU DOES NOT VET, GUARANTEE, OR ENDORSE THE IDENTITY, LEGAL STANDING, OR CREDITWORTHINESS OF ANY USER ON THE PLATFORM.

 

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ZELULU, ITS DIRECTORS, EMPLOYEES, AFFILIATES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • • LOSS OF PROFITS, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES.
  • • FINANCIAL LOSSES ARISING FROM SCAMS, FRAUDULENT TRANSACTIONS, OR UNMATCHED PAYMENTS BETWEEN USERS.
  • • PERSONAL INJURY, PROPERTY DAMAGE, OR DISPUTES ARISING OUT OF PHYSICAL MEETUPS ARRANGED THROUGH THE PLATFORM.
  • • UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR ACCOUNT OR TRANSMISSIONS.

IN JURISDICTIONS THAT DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR LIABILITY, ZELULU'S TOTAL CUMULATIVE LIABILITY SHALL BE LIMITED TO THE GREATER OF KES. 5,000 OR THE TOTAL AMOUNT YOU PAID TO ZELULU FOR PAID PROMOTIONS IN THE PRECEDING THREE (3) MONTHS.

 

11. Indemnification

You agree to defend, indemnify, and hold harmless Zelulu, its parent company, officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debts (including legal fees) arising from:

  • • Your breach of any provision of these Terms of Use.
  • • Your violation of any third-party right, including intellectual property or privacy rights.
  • • Any transaction, dispute, or interaction between you and another user.
  • • Any content or advertisement you publish on the Platform.

 

12. Account Termination & Ad Suspension

Zelulu reserves the right, in its sole discretion and without prior notice, to:

  • • Remove or edit any advertisement.
  • • Suspend, limit, or permanently terminate user accounts.
  • • Block specific phone numbers, IP addresses, or device IDs from accessing the Platform.

Reasons for account suspension include, but are not limited to: violation of these Terms, reported fraudulent activity, non-payment for promotional services, creating duplicate accounts, or conduct harmful to the Zelulu community.

 

13. Modifications to the Service & Terms

Zelulu reserves the right to modify, suspend, or discontinue any aspect of the Platform at any time without liability.
We may also update these Terms periodically. When changes occur, we will update the "Last Updated" date at the top of this document and notify users through an in-app notice or email for material updates. Your continued use of Zelulu after updates take effect signifies your consent to the revised Terms.

 

14. Governing Law & Dispute Resolution

  • • Governing Law: These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Zelulu's operating company is registered, without regard to its conflict of law principles.
  • • Informal Resolution: In the event of any dispute or claim arising out of or relating to these Terms or the Platform, you agree to first contact Zelulu customer support to attempt to resolve the issue informally.
  • • Binding Arbitration / Court Venue: If an informal resolution cannot be reached within thirty (30) days, the dispute shall be resolved through binding arbitration or in the designated courts of Zelulu's registered business location.
